Publisher Agreement This agreement describes the terms and conditions for participation in the Ads Circuit Publisher Program. The terms "Publisher," “Affiliate”, "you," and "your" are referring to you, the applicant. "We" and "our" refer to Ads Circuit. We are independent parties and this agreement will not form any partnership. Agreement Duration This agreement will begin upon our acceptance of your affiliate application and will end when terminated by either party. Termination may happen at any time, with or without cause, by giving the other party written notice of termination. Modification By posting a Change Notice or a new agreement on this site, we may modify any of the terms and conditions within this Agreement at any time and at our sole discretion. These modifications may include, but not limited to changes in the scope of available referral fees, fee schedules, payment procedures and Program rules. If any of the modifications are UNACCEPTABLE TO YOU, your only recourse is to terminate this Agreement. If you CONTINUE PARTICIPATION IN THE PROGRAM following the posting of a Change Notice or new agreement, it will be considered as your acceptance of the change. Payments and Commission Earnings Ads Circuit will pay your commission on a monthly basis approximately 15 days following the end of each month. The minimum payment amount must be US $20.00 or the minimum payment amount requested by the publisher, whichever is higher. . If the commission payable to you for any month is less US $20.00, we will hold those commissions until such time as your commission earned equals at least US $20.00. The CPA or the Cost Per Action commissions will only be earned on Actions reported by the Advertiser, and only after Ads Circuit receives full payment from the Advertiser. Ads Circuit is under no obligation to pay Affiliates for Actions which are not paid by the Advertiser. Payments will be paid by PayPal or Moneybookers. Publisher/ Affiliate Membership To become a member in Ads Circuit Affiliate/ Publisher Program, a Publisher must submit a complete Affiliate/ Publisher Program Application through Ads Circuit Website. Publisher/ Affiliate is subject to review and may be rejected for any reason, and at any time, by Ads Circuit. Approval of membership in the Ads Circuit Network is limited only to the specific root URL for which Applicant has applied for approval by Ads Circuit. If the applicant is an individual, applicant must be aged 18 or over. Valid Number of Advertising Creatives Placement A Publisher may use up to 3 different formats of creatives in every page. All ad formats must be placed within the first 500 pixels or 'above the fold' on your site. Website Restriction Ads Circuit reserves the right not to accept any site into the Ads Circuit Publisher Program based on site content. Sites that Do Not Qualify for the Ads Circuit Publisher Program include sites such as sites that are: Spam(UCE) Unsolicited Commercial E-mail – Ads Circuit Publisher Program in no way participates in mass unsolicited e-mailing (i.e. spamming), and all Affiliates are expected to adhere to this policy as well. Violation of this policy will result in the termination of this contract and immediate dismissal from the Ads Circuit Publisher Program, with no refund. Disclaimer We make no express or implied warranties or representations with respect to the Affiliate Program or your potential to earn income from the Ads Circuit Publisher Program. In addition, we make no representation that the operation of our site or the Affiliate Sites will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or down time. This Agreement will be governed by the laws of the State of Victoria, Australia, without reference to rules governing choice of laws. By submitting this Affiliate Agreement form, you acknowledge that you have read this agreement and agree to all its terms and conditions. You have independently evaluated this program and are not relying on any representation, guarantee, or statement other than as set forth in this agreement.
